Terms
Terms of sale and engagement.
These terms apply to the diagnostic ordered online, to fixed-fee projects, to the Design Rescue service, to Build School products and to the guide « Créer avec l’IA ou déléguer ? ». For a project, the written and signed proposal prevails over these terms where it differs. Provider: Danilson Ramos (Bynilson), independent product engineer, Zürich, Switzerland — danilson.daveigaramos.pro@gmail.com.
Updated
01 — Diagnostic
The product and architecture diagnostic
- Price and payment
- CHF 2’400, paid by card via Stripe when ordering. An invoice is issued automatically. Amounts in CHF; VAT added only where applicable.
- Timeline
- Delivery of the document 7 working days after the requested access and the kickoff questionnaire answers are received. A delay in these shifts delivery accordingly.
- Deliverable
- A written document: problem decomposition, map of users and workflows, review of the existing system where relevant, v1 boundary, build-vs-buy decisions, target architecture, risk register, phased plan and budget range; then a one-hour debrief. The document belongs to the client once delivered.
- Credit against a build
- 100% of the diagnostic price is deducted from a build of at least CHF 20’000 signed within 60 days of delivery. The credit is neither transferable nor redeemable for cash.
- Refund
- Full refund if the provider declines the engagement after reading the brief, or if the client cancels before the kickoff call. After the kickoff call the work has started and the price is no longer refundable.
- Nature of the deliverable
- The diagnostic is an engineering analysis and recommendation. Budget ranges are estimates, not quotes; it is neither legal, tax or regulatory advice nor a security audit.
02 — Projects
Fixed-fee projects
- Contract
- The written proposal (scope, exclusions, milestones, acceptance criteria, price, payment schedule) becomes the contract once accepted in writing.
- Fixed price and changes
- The price covers the written scope. Any new request is priced in writing before it is built and is only billed after the client agrees. No unagreed hourly billing.
- Payment
- Per the proposal’s schedule, usually 40% on signature, 40% on acceptance of the mid-point demo and 20% on acceptance. Invoices payable within 10 days.
- Acceptance
- The client checks the product against the acceptance criteria within 5 working days of it being made available. Without a written reservation within that period, acceptance is deemed given.
- Warranty
- For 30 days after acceptance, any deviation from the acceptance criteria is fixed at no cost. Excluded: new features, changes made by third parties, changes in third-party services (APIs, hosts, payment providers).
- Intellectual property
- On receipt of full payment, the client holds the rights to the project-specific source code, the repository and the accounts. The provider’s pre-existing generic tools remain its property and are licensed to the client perpetually, free of charge and non-exclusively for the project.
- Reference
- The provider only cites the project as a reference with the client’s written consent, and only in approved terms.
- Liability
- To the extent permitted by law, the provider’s liability is limited to the amount paid for the service concerned; it does not cover indirect damage or loss of profit. Intent and gross negligence remain reserved (art. 100 Swiss CO).
03 — Design Rescue
Design Rescue — fixed-price redesign
- Nature
- An interface design service and, where the quote says so, front-end implementation. Scope, deliverables, price, timeline, number of revisions and fix period are those of the quote accepted in the project space. The packages published on the Design Rescue page (in French) are starting prices, not quotes.
- Quote and acceptance
- Nothing is owed before a written quote is accepted. A quote is valid until its stated date. It is accepted online, with the express request that work starts once payment is confirmed; the contract is concluded on that confirmation.
- Price and payment
- Price in CHF, paid in full on acceptance by card via Stripe. A receipt and an invoice are issued automatically. VAT added only where applicable. This site never sees or stores card data.
- Timeline
- The timeline runs from payment confirmation and receipt of what is needed (content, files, read access). A delay in these shifts delivery accordingly.
- Revisions
- A revision is one set of adjustments within the agreed scope, requested at once from the project space. A new visual direction, an extra page or screen, or a major content change is quoted separately.
- Client responsibilities
- The client provides the content and warrants holding the rights to the logos, texts, images and fonts supplied. The client remains responsible for backups, hosting and going live, unless the quote says otherwise.
- Access
- No password or production secret is ever requested. When code delivery is planned, access is read-only (repository) or through a pull request, least-privilege and for the duration of the project. Nothing is deployed without the client’s written consent.
- Cancellation and refund
- Full refund if the project is cancelled before work starts, or if the provider finds it cannot be done within the accepted scope. Once work has started at the client’s request the price is no longer refundable, unless the delivery does not match the quote and cannot be corrected — the refund is then full.
- Fixes after delivery
- During the period stated in the quote, any deviation of the deliverable from the quote is fixed at no cost. Changes made by third parties and platform or third-party service changes are excluded.
- Ownership and references
- On full payment, the client may freely use the designs and code delivered for the project. Third-party fonts, images and components remain under their own licences. The project is only shown as a reference with the client’s written consent.
- Retention
- Project files stay downloadable in the project space for 180 days after the project ends, then are deleted. The client keeps a copy.
- What it is not
- Design Rescue is neither a security audit, nor legal advice, nor a guarantee of commercial results (traffic, conversion, revenue). The automated page analysis is a diagnostic aid, not a complete assessment.
04 — Code Rescue
Code Rescue — diagnosing and fixing defects
- Nature
- A service that diagnoses and fixes identified functional defects in an existing application. Scope, exclusions, acceptance criteria, deliverables, delivery method, price, timeline, number of rework rounds and fix period are those of the quote accepted in the project space. The packages published on the Code Rescue page are starting prices, not quotes.
- Quote and acceptance
- Nothing is owed before a written quote is accepted, drawn up after the provider has reviewed the request — never on the strength of the form alone.
- Timeline
- The timeline runs from payment confirmation and the set-up of the agreed code access. A delay in that access shifts delivery accordingly.
- Access and security
- No password, production key or customer data is ever requested. A repository link given in the request is not opened, cloned or executed automatically. Code access is agreed after qualification, with the client’s express consent: an invitation to that one repository or a copy of the code, least-privilege and for the duration of the engagement; the client removes it at the end. The provider works with test keys and test environments.
- Going to production
- Delivery is a pull request, a branch or a patch, as the quote says. Nothing is deployed to a client production environment without the client’s written approval. The client remains responsible for going live, backups and data.
- No repair promised before review
- The provider promises no repair before examining the code. The commitment is the written scope and the acceptance criteria of the quote. An issue that cannot be reproduced, or whose cause lies outside the scope, is documented as such.
- Report
- Every engagement delivers a remediation report: for each issue, what was observed, the root cause or the uncertainty, what was changed, what was verified and how, and what remains open. A verification or a test that was not run is never presented as passed.
- Rework rounds
- A rework round covers a gap between the delivery and the quote’s acceptance criteria, reported from the project space. A new defect, a new feature or a change of scope is quoted separately.
- Cancellation and refund
- Full refund if the engagement is cancelled before work starts, or if the provider finds it cannot be done within the accepted scope. Once work has started at the client’s request the price is no longer refundable, unless the delivery does not meet the acceptance criteria and cannot be reworked — the refund is then full.
- Fixes after delivery
- During the period stated in the quote, any defect introduced by the delivered changes is fixed at no cost. Changes made by third parties, changes in third-party services (APIs, hosts, payment providers) and out-of-scope defects are excluded.
- Ownership
- On full payment, the client may freely use the code and documents delivered for the project. Third-party libraries and services remain under their own licences. The engagement is only cited as a reference with the client’s written consent.
- Retention
- The report and files stay available in the project space for 180 days after the engagement ends, then are deleted. The client keeps a copy.
- What it is not
- Code Rescue is not a penetration test, a security or compliance audit, a guarantee that no other defect remains, or new feature development.
05 — Launch Rescue
Launch Rescue — launch readiness
- Nature
- A review of the production readiness of an existing application, within a written scope, with — depending on the package — the remediation of explicitly listed blockers and assistance with going live. Scope, exclusions, acceptance criteria, deliverables, price, timeline and number of rounds are those of the quote accepted in the project space. The packages published on the Launch Rescue page are starting prices, not quotes.
- Quote and acceptance
- Nothing is owed before the client has accepted, in writing, the scope and the final quote, drawn up after the provider has reviewed the request — never on the strength of the form or the self-assessment alone.
- Timeline
- The timeline runs from payment confirmation and the set-up of the agreed access. A delay in that access shifts delivery accordingly.
- Access and security
- No password, production key or customer data is requested in the form. The application address given in the request is not opened or analysed automatically. Access for the review is agreed after qualification, with the client’s express consent: least-privilege, read-only or through test accounts and test keys where possible, for the duration of the engagement; the client removes it at the end.
- What the review covers
- Only the scope written in the quote. Every finding in the report states its evidence level: declared (by the client), tool-observed, expert-verified, or not checked. What could not be checked is listed as such, never assumed fine.
- Release decision
- The report ends with a recommendation about the checked scope only: no identified blocker within that scope, launch with documented risks, address critical blockers first, or insufficient evidence to recommend a decision. It is never a certification that the application is secure, compliant or free of defects. The decision to launch remains the client’s.
- Fixes and deployment
- Launch Fix Sprint and Go-Live Support cover only the blockers explicitly listed in the quote. Delivery is a pull request, a branch or a patch. Nothing is deployed to a client production environment without the client’s written authorisation; supervised deployment assistance and the post-release verification window are those of the quote. Zero downtime, zero vulnerabilities and complete compliance are not promised.
- Rounds after delivery
- A round covers a clarification of the report or a gap between the delivery and the quote’s acceptance criteria, reported from the project space. A new need, a new defect or a change of scope is quoted separately.
- Retention
- The report and files stay available in the project space for 180 days after the engagement ends, then are deleted. The client keeps a copy.
- What it is not
- This review is not a penetration test, legal compliance certification, or guarantee that no bugs remain. Nor is it legal advice: legal obligations it identifies are flagged for review by a professional.
06 — Conversion Rescue
Conversion Rescue — conversion audit and fixes
- The free scan
- The scan offered on the Conversion Rescue page is automated and free. It reads the code of the public page entered and, when possible, its mobile rendering by Google PageSpeed Insights. Its findings and opportunity score assess what could be read — they are not a measurement of your conversions and not a promise of results. What could not be checked is labelled as such. It commits you to nothing and creates no contract.
- What the packages are
- Conversion Audit: an on-screen review of the agreed pages and flow, starting from the automated scan, delivered as a report (findings with evidence, severity, confidence, hypothesis, correction, effort and validation method, prioritised roadmap), with no implementation. Conversion Fix Sprint: implementing the corrections explicitly listed in the quote. Scope, exclusions, acceptance criteria, deliverables, price, timeline and number of rounds are those of the quote accepted in the project space. The published packages are starting prices, not quotes.
- Quote and acceptance
- Nothing is owed before the client has accepted, in writing, the scope and the final quote, drawn up after the provider has reviewed the request — never on the strength of the automated scan alone.
- Timeline
- The timeline runs from payment confirmation and, for a Fix Sprint, the set-up of the agreed access. A delay in that access shifts delivery accordingly.
- Access and publication
- No password is requested. Any access (read-only analytics, limited write access for a Fix Sprint) is agreed after qualification, with the client’s express consent, least-privilege and for the duration of the engagement; the client removes it at the end. Nothing is published on the client’s site without the client’s written authorisation.
- No guaranteed result
- Every recommendation is a hypothesis to validate, with a stated validation method. No increase in conversions, sales or revenue is promised or guaranteed; acceptance criteria are about what is delivered, not a conversion rate.
- Rounds after delivery
- A round covers a clarification of the report or a gap between the delivery and the quote’s acceptance criteria, reported from the project space. A new need or a change of scope is quoted separately.
- Retention
- The report and files stay available in the project space for 180 days after the engagement ends, then are deleted. The client keeps a copy.
07 — Confidentiality
Project confidentiality
Any non-public information shared by a prospect or client — brief, files, code, data, business model — is treated as confidential, used only to evaluate or deliver the project, and never passed to a third party without consent. An NDA is signed on request before any sensitive sharing.
The processing of personal data is described on the Privacy page.
08 — Build School
Build School products
Build School products (Starter, Cohort) are digital training products paid via Stripe; their content and format are described on their pages. They guarantee neither a job, nor income, nor commercial success. Refund requests are made by email and handled individually.
09 — Guide
The guide « Créer avec l’IA ou déléguer ? » (French)
- What you buy
- The guide (CHF 39) or the guide with its toolkit (CHF 99): digital content in French, one-time payment via Stripe, prices in CHF including taxes. The exact content of each package is described on the guide page.
- Delivery and access
- Online access with no time limit for the purchased version, through a sign-in link sent to the payment email; no account, no password. Access opens as soon as Stripe confirms the payment (for a delayed payment method, at confirmation).
- Updates
- Corrections and updates of version 1 are included. A future, entirely new version 2 would be announced separately and would take nothing away from what you bought.
- Refund
- If the guide is not useful to you, write within 14 days of purchase: full refund, no reason needed. The access tied to that payment is then deactivated; your other purchases are not affected. This voluntary refund also covers the EU consumers’ 14-day withdrawal right: you are not asked to waive it at checkout. Swiss law has no general right of withdrawal for online purchases; this refund is the provider’s commitment.
- Use
- Downloaded files are yours for your own use and your team’s. They carry no copy protection; please do not redistribute them.
- Nature of the content
- An editorial decision framework, examples and templates. Not legal advice, not a security audit, not a certification, no guarantee of commercial results. The diagnostic applies published rules to your answers only.
- Project review
- Offered separately (proposed fixed scope, CHF 299). Scope, date and payment are confirmed in writing before any work; nothing is due before you agree. No online payment for this review.
10 — Governing law
Governing law and jurisdiction
Swiss law. Exclusive jurisdiction in Zürich, subject to mandatory legal venues.
